GENERAL CONDITIONS

By accessing the Jelly Social (Jelly) application on iOS or Android, the website, www.jellysocial.com or any service or product that uses the Jelly platform, either through a mobile device, mobile application or computer , from now on “Service”, the terms and conditions of use (this Agreement) are accepted, with or without having an active Jelly account. If you wish to create a Jelly account and make use of the service, please read the Terms and Conditions of Use. Jelly is a property of "GM VAS Entertainment S.A.P.I. de C.V." (the Company).

You are invited to read Jelly's Privacy Policies which are incorporated by reference to this Agreement. If you are NOT accepted or you DO NOT agree with what is stipulated in this Agreement, including Jelly's Privacy Policies, DO NOT use the Service. In case of doubt please contact the Jelly support team.

1. Compliance with the Agreement
   1. This Agreement is an electronic contract that establishes the legal terms that must be accepted to use the Service. This Agreement includes the Privacy Policies and the terms that are accepted when purchasing or accepting functionalities, products or services offered within the Service, such as free trials, discounts, promotions and subscriptions and purchases through any payment method (including more not limited to Google Play, iTunes, Telcel, PayPal, Amazon, SMS).
   2. By accessing or using the Service, the Agreement is accepted and the agreements, conditions and notifications contained or referred to herein are accepted and it is attested that this Agreement and the notifications provided electronically are provided. To subtract from this Agreement, under the conditions stipulated in it, you must stop using the Service and delete your account. Please print the Agreement for your records. This agreement may be modified by the Company at its discretion and when it deems it necessary; modifications that will be effective when published by the Company.
2. Eligibility No Jelly functionality is aimed at children under 18. They must be 18 years of age, or be of legal age in the country of residence, when accessing the Service by any means. By accessing and using the Service, it is guaranteed that you have the right, authority and ability to enter into this Agreement and to comply with the terms and conditions of this Agreement. If an account is created, it is ensured and guaranteed that the user has never been convicted by any governmental entity of a serious crime; including and not limited to sexual crime, prostitution, trafficking in persons, among other crimes. The use of the Service may be prohibited or limited in some countries. The user must comply with the laws and regulations of their place of residence before, during and after the use of the Service.
3. Account Creation
   1. To create a Service account there are two defined methods
      1. Connect with Facebook or Google: The user must connect using their official Facebook or Google account. By doing so, you authorize us to access and use information contained in the Facebook or Google account, including but not limited to the public profile and information about your network friends.
      2. Account creation: The user must use his email, real name and a private password to create a Service account. In doing so, you authorize us to access and use this information. The user guarantees that both the email account and its name are real and of its exclusive use; In addition to ensuring you protect your password and do not share it under any circumstances or for any reason.

4. No commercial use by users The Service is for personal use only and privately. Users must not use the Service or any content present within the Service (including, without limitation, other users' content, designs, texts, graphics, images, videos, information, logos, software, audio files and computer code) in connection with any commercial effort, such as (i) advertising or asking users for purchases or sales of any product or service not offered by the Company or (ii) requesting others to participate in parties and other social events, or networking, with the objective commercial. Users of the Service should not use the information obtained within the Service to contact, advertise, request or sell to any user without their prior consent and authorization. Organizations, Companies, and businesses may not use the Service for any purpose. The Company may investigate and take legal action in response to illegal or unauthorized uses of the Service including, without limitation, collection of user names or email addresses by any means with the purpose of sending unsolicited emails and links outside the Service.
5. Account security The user is responsible for maintaining the confidentiality of their email and password designated in the creation of the account and is solely responsible for the activities that occur during a session of their user and password. It is guaranteed that the user will notify the Company of any misuse of its user and password or any other security breach to help@jellysocial.com and ensures that it will close the use session (log out) at the end of the use of the Service.
6. Interactions with other users
   1. The user is solely responsible for their interactions with other users. It is understood that the Company does not perform any verification of legal identity or prior criminal conduct. The Company does not make inquiries about the history of users as well as does not intend to verify any statement made by users. The Company reserves the right to make any legal inquiry of its users at any time using the available public resources.
   2. The Company is not responsible for the conduct of any of the users. As indicated in sections 13 and 14 below, in no case will the Company, or any of its affiliates, be held liable (directly or indirectly) for any loss or damage, whether direct or indirect, general, special, compensatory, for consequence or incidental that happens of any conduct related to the user or any user in connection with the Service including without limitation, death, illness, stress or damage results of the communication or meeting with other users in person or through the Service. It is accepted that the user will take all necessary precautions in all interactions with other users; in particles if it is decided to communicate by means outside the Service or meet in person. It is understood that the Company does not guarantee or guarantee, either expressly or implied, of the final compatibility with known individuals through the Service. The user must not provide financial or confidential information for any reason to other known users through the Service and must deny any request for monetary funds, sale, purchase or subscription to other users of the Service.
7. Property rights The Company owns and retains rights to all properties present in the Service, and the content, brands, names, services and any related intellectual property. The Service contains copyrighted material, trademarks and confidential information of the Company and its licensees. It is accepted not to copy, modify, transmit, create any derivative work, make use of, reproduce in any format any protected material, brand, name, service or any information accessible through the Service, without obtaining prior written authorization of the Company or the owner of the property in question.
8. User generated content
   1. The user is solely responsible for the content and information that is saved, published, uploaded digitally, linked to, transmitted, recorded, displayed or made available (hereafter Publish) on the Service or transmitted to other users, including, text messages, chats, videos, photographs, texts within the profile (hereinafter Content), whether it is done publicly or privately. It is not allowed to publish as part of the Service or in any communication to the Company or any other user, any Content, offensive, incomplete, abusive, obscene, profane, intimidating, harassing, that incites racism or abuse, be it illegal or any material that infringes or violates the rights of another person. The user ensures and guarantees that (i) all the information that is published, influencing when creating the account, is accurate and truthful and that it will update this information when it becomes inaccurate or false and (ii) that the user has the rights to Publish the Content to the Service and granting the necessary licenses to the Service and the Company.
   2. It is understood and accepted that the Company may, but is not obligated, monitor and review the Content Published to the Service. The Company may delete any Content, in whole or in part, that in the Company's judgment violates this Agreement or may damage the reputation of the Service or the Company.
   3. When Publishing Content to the Service, the Company, and its affiliates, graduates and successors, are automatically granted a worldwide, irrevocable, perpetual, non-exclusive, transferable, sub-licensed and free license to (i) use, copy, save, deploy , reproduce, record, adapt, modify and distribute the Content, (ii) prepare derivative works of the Content or incorporate the Content into other works and (iii) grant and authorize sub-licenses of the foregoing in any medium known or created in the future. It is stated and guaranteed that any publication and its Content by the company will not infringe or violate the rights of third parties.
   4. In addition to the list of Prohibited Content presented in section 8-a, the following is a list of the type of Content prohibited in the Service. The user must NOT publish Content that:
      1. promote racism, hatred, physical or emotional harm of any kind against individuals or any group of individuals;
      2. promote harassment or intimidation of another person or group of people;
      3. request money or try to defraud other users;
      4. promote information that is false or misleading, or that promotes illegal activities or defamatory, slanderous or objectionable behavior in any way;
      5. Contains video, audio, photographs, or images of another person without their consent or in the case of minors without the consent of the child's parent or guardian;
      6. provide instructions about illegal activities;
      7. contains viruses, malware, spyware, worms or any other type of malicious software;
      8. try to promote commercial activities or sales without prior written authorization.
      The Company reserves the right, at its discretion, to investigate and take legal action against those who violate these provisions, including removing the Content from the Service and terminating or suspending the account of the responsible users.
   5. The use of the Service, including the Content that is published therein, must be governed by all applicable laws and regulations. It is accepted that the Company may access, preserve and disclose the information of any account or Content if required by law or in good will to (i) comply with a legal process, (ii) respond to complaints about Content that violates the rights from third parties; (iii) enforce this agreement; (iv) respond to customer service requests; or (v) protect the rights, property, or security of the Company or any other person.
   6. It is accepted that any Content that is Published on the Service may be viewed by anyone who visits or participates in the Service.
9. Prohibited Activities The Company reserves the right to investigate, suspend or terminate any account if the Service has been misused or there has been behavior that may be considered inappropriate or illegal, including actions or communications that occur outside the Service between individuals. that have been known within it. Below is a partial list of actions that should NOT be performed with respect to the Service. It's prohibited:
   1. personify another person or entity;
   2. request money from users;
   3. publish any Prohibited Content in the previous section;
   4. harass any person;

10. Customer Service The Company provides assistance and guidance through its customer service representatives. When communication with customer service representatives is initiated, it is accepted NOT to be abusive, obscene, profane, offensive, sexist, harassing, racist or behaving inappropriately. If any of these behaviors are presented towards our representatives or any of our employees, we reserve the right to immediately terminate the account of the users involved.
11. Modifications of the Service The Company reserves the right at any time to modify or discontinue, temporarily or permanently, the Service (or any module, functionality or part thereof) with or without prior notice. To protect the integrity of the Service, the Company reserves the right, at any time, to block access to the Service to any user or users of a specific IP.
12. Intellectual property
    1. You may not publish any Content that is protected by Intellectual Property rights without prior written authorization.
    2. Users or entities that suspect that Content that belongs to them has been published totally or partially in the Service, please contact help@jellysocial.com to open a formal complaint.
13. Disclaimer THE COMPANY DOES NOT DECLARE OR GUARANTEE THAT THE CONTENT OF THE SERVICE IS ACCURATE AND COMPLETE. THIS SERVICE AND THE CONTENT, THE MATERIAL, THE INFORMATION, THE SERVICES AND THE PRODUCTS IN THIS SERVICE, INCLUDING, WITHOUT LIMITATION, THE TEXT, THE GRAPHICS, VIDEOS, AUDIO (CONTENT) AND THE LINKS ARE PROVIDED IN THE STATE IN WHICH FIND AND WITHOUT WARRANTIES OF ANY KIND, ALREADY EXPRESS OR IMPLIED. TO THE GREATEST EXTENT PERMITTED IN ACCORDANCE WITH APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT WITHOUT LIMITATION, ALL WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A SPECIFIC, NON-VIOLATING, PRODUCT COMPUTERS, AND ALL WARRANTIES THAT COME IN THE COURSE OF THE OPERATION OR DURING COMPLIANCE WITH THE SAME. THE COMPANY DOES NOT DECLARE OR GUARANTEE THAT THE FUNCTIONS CONTAINED IN THE SERVICE WILL BE UNINTERRUPTED OR THAT THEY WILL BE FREE OF ERRORS, THAT THE DEFECTS WILL BE CORRECTED OR THAT THIS SERVICE OR THE SERVER THAT MAKES THE SERVICE AVAILABLE IS FREE OF VIRUSES OR OTHER. THE COMPANY DOES NOT MAKE ANY DECLARATION OR WARRANTY REGARDING THE USE OF THE CONTENT IN THIS SERVICE AS TO IF THE CONTENT IS COMPLETE, CORRECT, EXACT, ADEQUATE, USEFUL, TIMELY, RELIABLE. IN ADDITION TO THE PREVIOUSLY MENTIONED, YOU ASSUME ALL THE COST OF ALL THE SERVICES, REPAIRS OR CORRECTIONS THAT WERE NEEDED THAT THE DEFECTS WILL BE CORRECTED OR THAT THIS SERVICE OR THE SERVER THAT MAKES THE SERVICE AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL ELEMENTS. 14. Limitation of Liability WITH THE GREATEST EXTENT PERMITTED BY APPLICABLE LEGISLATION, YOU. UNDERSTAND AND AGREE THAT NEITHER THE COMPANY OR ANY OF ITS SUBSIDIARY OR AFFILIATED RESPONSES OR THIRD PARTY PROVIDERS, WILL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, MEDIUM, IMMEDIATE, CONSEQUENTIAL, RELEVANT OR RELEVANT USE OR YOUR DISABILITY TO USE THIS SERVICE OR ANY OTHER SERVICE OR PRODUCT THAT YOU. ACCESS THROUGH A CONNECTION FROM THIS SERVICE OR ANY MEASURE THAT WE TAKE OR DO NOT TAKE AS A RESULT OF EMAIL MESSAGES THAT YOU. SEND US. THESE INCLUDE DAMAGES DUE TO ERRORS, OMISSIONS, INTERRUPTIONS, DEFECTS, ARRANGEMENTS, COMPUTER VIRUSES, THEIR LOSSING LIGHT, DATA LOSS, UNAUTHORIZED ACCESS TO AND ALTERATION OF YOUR TRANSMISSIONS AND DATA, AND OTHER TANGIBLE AND INTANGIBLE LOSSES. THIS LIMITATION IS APPLICABLE INDEPENDENTLY IF THE DAMAGES AND INJURIES WERE CLAIMED UNDER A CONTRACT, AS A RESULT OF NEGLIGENCE OR OTHERWISE, AND ALSO IF WE OR OUR REPRESENTATIVES HAVE BEEN NEGLIGENT OR HAVE BEEN DAMAGED
15. Compensation The user agrees to indemnify and keep the Company, its subsidiaries and affiliates, and its officers, agents and employees safe from any loss, liability, complaint or claim, including reasonable representation costs, made by any third party due or on account of a break or breach of this Agreement, the publications and the Content that is published in the Service or the violation of any law or regulation by the user.
